Combine baking crumbs and margarine; press onto bottom and up side of 9-inch pie plate.
Beat pudding mix and milk in medium bowl with whisk 2 min. Stir in Cool Whip; spoon into crust. Top with chopped chocolate.
Refrigerate 30 min. or until firm.
